By accessing or using RoyaltyFlow (“the Service”), you agree to be bound by these Terms. If you disagree, do not use the Service.
You must be at least 18 years old to use the Service. By using it, you represent that you have the legal authority to bind yourself or your organization.
You are responsible for maintaining the confidentiality of your login credentials. You agree to provide accurate, current, and complete information during registration.
Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change pricing with 30 days’ notice.
We offer a free tier with limited features. We may modify or cancel free trials at any time without notice.
You retain ownership of all content you upload (“Your Data”). You grant us a license to host, process, and display Your Data solely to provide the Service. We never claim ownership of your music, splits, or reports.
You agree not to: upload illegal content, infringe third-party rights, interfere with the Service, or use it for unauthorized data mining. Violation may result in immediate termination.
The Service itself (code, design, trademarks) is owned by RoyaltyFlow Inc. You receive a non-exclusive, non-transferable license to use the Service during your subscription term.
By using UGC Capture, you represent that you have the rights to claim royalties for the submitted tracks. We act as your agent for claim submission but do not guarantee approval or payment.
Either party may terminate at any time. Upon termination, we will provide export of Your Data for 30 days. After that, data may be deleted.
The Service is provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that UGC claims will be successful or that royalties will be collected.
To the maximum extent permitted by law, RoyaltyFlow’s liability is limited to the fees you paid in the preceding 12 months. We are not liable for lost profits or indirect damages.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware. You waive any objection to personal jurisdiction in Delaware.
You agree to indemnify RoyaltyFlow against claims arising from your violation of these Terms or applicable laws.
We may update these Terms. Continued use after notice constitutes acceptance. For material changes, we will notify you via email.
